About the Job

IFU, the Investment Fund for Developing Countries, is seeking a Senior Corporate Governance Advisor/agent, who is motivated by contributing to investments in the most challenging markets in Africa, Asia, Latin America and Europe with the aim of supporting economic development.
IFU has an entrepreneurial approach to investment and invests on commercial terms. We think innovatively about ways to deploy our capital, attract and mobilise other investors, and drive transformational and sustainable impact in the poorest countries in the world.
The Senior Corporate Governance Advisor/agent will be part of IFU's team working with ESG and impact and be the technical corporate governance expert that supports the investment teams and investee companies. As well as being the focal point/support on internal compliance matters. As Senior Corporate Governance Advisor/agent, you will:
   » Develop/(re-)design and maintain all CG related IFU processes and policies, including on anti-corruption
   » Assess CG risks against IFU's Sustaincapability Policy and sub-policies, and design, promote, negotiate and monitor connected CG action plans
   » Work directly with the portfolio companies, funds and FIs to improve their CG structures and practices
   » Train IFU representatives on boards, as needed, on CG matters
   » Help build and maintain strong relationships with external stakeholders and ensure that learnings from external fora are shared internally
   » Serve as trusted advisor on client acceptance (criteria) located on CG risks, from a conflict-of-interest perspective and/or IFU (reputational) risk perspective
   » Focal point on anti-corruption measures. Supporting especially Legal and HR as subject matter expert and take active part in developing and delivering trainings on anti-corruption for IFU staff and IFU advisors.
   » Support IFU's grievance and complaint committee

Qualifications

We are seeking for a profile who is considered an expert on corporate governance and has the capability to work in and support multi-disciplinary teams. You have strong team expertise, contributing to team success and to a constructive, positive and collaborative work environment. In addition to this:
   » Academic-level, MBA, Law or other significant graduate degree
   » 5-8 years of significant practice with a proven track record
   » Good knowledge of generally accepted corporate governance principles and anti-corruption measures
   » practice advising family-owned and/or state-owned enterprises is a plus
   » practice carrying out/facilitating change processes in companies and on all levels
   » capability to build productive, lasting working relationships with clients, strategic partners and investment teams
   » Risk aware and able to escalate key issues when necessary
   » Excellent English communication expertise, both written and verbal
   » Culturally sensitive
